PCRE, LLC dba Lease Local ("Lease Local", "Us", or "We") provide commercial real estate rental search services (the "Services") via the website www.leaselocal.com (the "Site"). Please review the following terms that govern your use of the Site and the Services. Please be advised that your use of the Site and the Services, or accessing or using the Site in any way, including merely browsing or viewing content, constitutes your agreement to follow and be bound by the following Terms and Conditions.

Attention: The Site and these Terms and Conditions may be changed by us with or without notice. Please review this page on a regular basis for changes. Continued use of the Site following any change constitutes your acceptance of the change.

All information and Services available on and through this Site may be used solely under the following Terms and Conditions. We may revise these Terms and Conditions at any time by updating this posting. Your continued use of the Site constitutes your binding and continued acceptance of these Terms.

Use of Materials

The contents of this Site, (including text, graphics, images, logos, button icons, HTML code, software, intellectual property, and other Material) are the property of Lease Local, its subscribers or clients, and are protected by U.S. and international trademark and copyright laws. In addition, the compilation (meaning the collection, arrangement, and assembly) of all content on this Site is equally protected.

The use of the Services or the Site's Materials on any other website or networked computer environment or for any other purpose is strictly prohibited and such unauthorized use may violate copyright, trademark, and other similar laws. You may use, view, print, download, and/or email Materials from this Site solely for your informational use for the purposes of searching, vetting, and facilitating commercial real estate leasing, provided you keep intact all copyright and other proprietary notices. In no event shall Materials from this Site be stored in any information storage and retrieval system or database without prior written permission from Lease Local. You may not use, copy, or display the Site or its Materials for commercial, competitive, or data aggregation purposes, including by means of automated scraping or data extraction tools, without our prior written consent.

The Services may only be used for leasing transactions in commercial real estate, which includes, without limitation, commercially zoned properties. The Services expressly may not be used in connection with residential real estate transactions, or sales or purchases of real property of any kind.

Privacy Policy

Our use of any personally identifying information you provide to us as part of the registration process or use of the Services is governed by the terms of our Privacy Policy, which is expressly incorporated by reference in these Terms and Conditions.

User Submissions and Conduct

Any user of the Site may register and create an account with us free of charge, such as to save search results and otherwise interact with the content on the Site. Subscribers are a subset of users who pay a subscription fee for additional features of the Services, including the ability to post listings on the Site. This site is intended for users 18 or older. Minors may not register.

As a user, you are responsible for your own communications and the consequences of your posting. You acknowledge that any reliance on material posted by other users will be at your own risk. All information, data, text, software, music, sound, photographs, graphics, video, messages or other materials publicly posted or privately transmitted are the sole responsibility of the originator or person from which such material emanates. You also permit any subscriber or user to access, display, view, store and reproduce such content for personal use.

When you post a listing, upload a file or otherwise provide us with material for display on the Site, you represent that you have the rights and authority to post such materials on the Site, and are granting Lease Local a royalty-free, perpetual, non-exclusive, unrestricted, worldwide license to use, copy, sub-license, adapt, transmit, publicly perform or display any such communication. User submitted content must not contain confidential or proprietary information. Any hyperlinks contained in a posting submitted by a user or subscriber will be disabled when posted on the Site.

Lease Local reserves the right, but not the obligation, to edit, refuse to post, or remove any content that it deems, in its sole discretion, to violate these Terms or to be otherwise objectionable.

Restrictions

You must not, and by using this Site you agree not to:

reproduce, modify, distribute, display or otherwise provide access to, create derivative works from, decompile, disassemble, or reverse engineer any portion of the Services or Site, except as explicitly permitted by these terms;
post material that is obscene, defamatory, threatening, harassing, abusive, hateful or embarrassing to another user, subscriber, or any other person or entity;
post a sexually-explicit image or statement;
post chain letters or pyramid schemes;
impersonate another person, including, but not limited to a Lease Local official, or falsely state or misrepresent your affiliation with a person or entity;
use the website for any unlawful purpose or in violation of any applicable laws or regulations;
promote or encourage illegal conduct;
post material that contains viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines or engines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information;
conduct automated queries (including screen and database scraping, spiders, robots, crawlers, bypassing "captcha" or similar precautions, or any other automated activity with the purpose of obtaining information from the Services) on the Services;
post, email, or transmit any material that you do not have a right to make available under any law or under contractual or fiduciary relationships;
use the Services in any way to discriminate against any individual or class of individuals protected under federal, state or local laws, or which may have a discriminatory effect against any individual or class of individuals, or which otherwise promotes illegal, racist or discriminatory activities or outcomes;
post, email, or transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
post material that is copyrighted, unless you are the copyright owner or have the permission of the copyright owner to post it; post material that reveals trade secrets, unless you own them or have the permission of the owner; post material that infringes on any other intellectual property rights of others or on the privacy or publicity rights of others;
remove or modify any copyright, trademarks or other intellectual property notices that appear in the Services or on the Site;
harm minors in any way;
stalk or otherwise engage in any conduct that harasses another;
use the Site or Services to resell, rent, or commercially exploit content or data from the Site without prior written consent;
interfere with or disrupt the Site or its servers, or attempt to gain unauthorized access to systems or networks connected to the Site;
frame or mirror any part of the Site or display it in a manner that misrepresents its source or affiliation;

circumvent or disable any security-related features or access controls of the Site.

User Information

The Site and the Services provide a passive conduit for the online distribution and publication of user-submitted information regarding the availability of certain commercial real estate properties for lease. Only subscribers to the Services may post listings to the Site, but any user of the site may interact with existing postings. Use of the Site does not create any agency, partnership, joint venture, employment, or franchise relationship between you and Lease Local.

Lease Local has no obligation to screen communications or information in advance and is not responsible for screening or monitoring material posted by subscribers or users. If notified of communications which allegedly do not conform to these Terms and Conditions, we may investigate and determine in our sole discretion whether to remove or request the removal of the communication. Lease Local has no liability or responsibility to users or subscribers for performance or nonperformance of such activities. We may take any action with respect to user-submitted information that we deem necessary or appropriate if we believe it may create liability for Lease Local or may cause Lease Local to lose (in whole or in part) the services of its ISPs or other suppliers.

To use certain features of the Site, you must register with Lease Local and create a username and password through the Site's registration process. By registering an account with us, you agree to: (a) provide true, accurate, current, and complete information about yourself, and (b) maintain and promptly update the information you provide. You are responsible for maintaining the confidentiality of your password and account information and are responsible for all activities that occur under your password or account.

You agree to notify us immediately of any unauthorized use of your password or account or any other breach of security, and to ensure that you exit from your account at the end of each session. Lease Local cannot and will not be liable for any loss or damage arising from your failure to protect your password or account information. If you provide or if we have reasonable grounds to believe you have provided untrue, inaccurate, not current, or incomplete information, we reserve the right to suspend or terminate your access to the Site and Services.

Except for any disclosure by you for technical support purposes or as specified in our Privacy Policy, all communications by you on this Site will be considered non-confidential and non-proprietary. You agree that any and all comments, information, feedback and ideas regarding our company, products or services that you communicate to Lease Local will be deemed the property of Lease Local and we shall be entitled to full rights of ownership, including, without limitation, unrestricted right to use or disclose such feedback in any form, medium or technology known now or developed later, and for any purpose, commercial or otherwise, without compensation.

Subscription and Payment Terms

All subscription fees are billed in advance and are non-refundable except as required by law. Subscriptions automatically renew unless canceled prior to the renewal date. You may cancel your subscription by using your account settings or e-mailing hello@leaselocal.com.

Termination

Lease Local may terminate your registration and access to the Services and Site, at our sole discretion, if any of these Terms and Conditions are violated or if we are unable to verify or authenticate any information you submit to the Site. Upon termination, we may delete your postings from this Site. Termination may occur without prior notice or liability.

Lease Local reserves the right to suspend or terminate access at any time for conduct that it determines, in its sole discretion, violates these Terms or is otherwise harmful to its interests or reputation.

You will not misuse or share your username/password for your account on the Site. If you are in violation of your obligations under the Terms and Conditions, you may be subject to prosecution.

Linking

The Site may contain links to other sites as a convenience to you. Lease Local is not responsible for the availability of these outside resources or their contents. The inclusion of such a link does not imply endorsement of the site or its contents or any association with its operators. We are not responsible for the accuracy, copyright compliance, legality, decency, or appropriateness of the content, nor the advertising, products, or other materials on such sites. Under no circumstances shall Lease Local be held responsible or liable, directly, or indirectly, for any loss or damage caused or alleged to have been caused to a user in connection with the use or reliance on any content, goods, or services available on such third-party sites. If you decide to access linked third-party websites, you do so at your own risk. Any concerns regarding any third-party website should be directed to its respective site administrator or webmaster. You may provide links only to the homepage of the Site or to specific pages for listings you have submitted as a subscriber, provided: (a) you do not remove or obscure, by framing or otherwise, any portion of the Site, its name or trademarks, the advertisements, the copyright notice, or other notices on this Site, (b) you give us notice of such link by contacting us, and (c) you discontinue providing hot links to the Site if notified by us.

Lease Local disclaims any and all warranties, express or implied, to any such linked sites, including but not limited to any terms as to the accuracy, ownership, validity or legality of any content of a linked site, whether third-party or user submitted. Lease Local disclaims all responsibility for any third-party content or materials that may be linked to or from the Site, including but not limited to their accuracy, legality, or availability.

Copyright and Trademark Notice

The trademarks, service marks and logos of Lease Local and others used in this website ("Trademarks") are the property of Lease Local and their respective owners. You have no right to use any such Trademarks, and nothing contained in this website or the Terms and Conditions grants any right to use (by implication, waiver, estoppels or otherwise) any Trademarks without the prior written permission of Lease Local or the respective owner.

Limitation of Liability

The Site is merely an information center. Lease Local does not screen or censor the submitted listings or postings. Further, we are not involved in the actual transaction or decisions of its subscribers and users. As a result, Lease Local has no control over the quality, safety or legality of the posted information, or the truth or accuracy of the listings. There are risks involved in conducting business through the Internet, including but not limited to the risk of physical harm, of dealing with strangers, underage persons or people acting under false pretenses. By its very nature, other people's information may be offensive, harmful, or inaccurate, and in some cases will be mislabeled or deceptively labeled. We expect that you will use caution and common sense when using this Site. By using the Site and the Services, you assume all risks associated with dealing with other users with whom you come in contact through the Site.

The Site's content may contain inaccuracies, out-of-date information, or typographical errors. Lease Local makes no representations about the accuracy, reliability, completeness, or timeliness of the posted information. The use of the Site and its content is at your own risk. Changes are periodically made to the Site and may be made at any time. We make no commitment and expressly disclaim any duty to update any of the posted content on this Site.

Lease Local does not warrant that the website will operate error-free, will be compatible with your computer or mobile device, will be available for use at all times, or that the Site and its server are free of computer viruses or other harmful mechanisms. If your use of the Site or the Material results in the need for servicing or replacing equipment or data, Lease Local is not responsible for those costs. Lease Local is also not liable for any missed opportunities due to Site unavailability or inaccurate information presented on or through the Site.

Lease Local's total liability shall not exceed the amount paid by the user in the preceding 12 months.

Lease Local is not a party to transactions between users. Lease Local provides listings only.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. SUBJECT TO ANY APPLICABLE THIRD-PARTY WARRANTIES FOR EMBEDDED THIRD-PARTY SOFTWARE, IF AVAILABLE, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LEASE LOCAL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.

LEASE LOCAL MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE SERVICES WILL BE COMPATIBLE WITH YOUR SYSTEM, COMPUTING DEVICE, OR ANY OTHER SOFTWARE, APPS, SYSTEMS OR SERVICES, (iv) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (v) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, OR THAT (vi) ANY ERRORS IN THE SITE WILL BE CORRECTED.

NO INFORMATION FROM LEASE LOCAL OR THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS AND CONDITIONS.

Applicable Laws

These Terms and Conditions are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without giving effect to any choice or conflict of law provision or rule that would require or permit the application of the laws of any jurisdiction other than those of the Commonwealth of Pennsylvania. Disputes arising hereunder shall be exclusively subject to the jurisdiction of the federal courts of the United States of America and/or the courts of the Commonwealth of Pennsylvania, in each case located in Pittsburgh, Pennsylvania. Jurisdiction and venue shall rest solely in Pittsburgh, Pennsylvania, USA.

If any provision of these Terms and Conditions are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect.

Lease Local makes no claims that the Site or the Materials may be lawfully viewed or downloaded outside of the United States. Access to the Site and Materials may not be legal by certain persons or in certain countries. If you access the Site or Services from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or from the country in which you reside or access this site.

General

EXCEPT AS EXPRESSLY PROVIDED, THESE TERMS AND CONDITIONS AND OUR PRIVACY POLICY CONSTITUTE THE ENTIRE AGREEMENT BETWEEN YOU AND LEASE LOCAL WITH RESPECT TO USE OF THE SITE AND SERVICES. REVISIONS TO THESE TERMS AND CONDITIONS SHALL BE ANNOUNCED ON THIS PAGE. IF THESE TERMS AND CONDITIONS ARE NOT ACCEPTABLE IN FULL, YOU MUST IMMEDIATELY TERMINATE YOUR USE OF THIS SITE.

No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term, and Lease Local's failure to assert any right under these Terms shall not constitute a waiver of such right.

If any provision of these Terms is found invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
